Source Pilot Buyer and Supplier Conduct Rules

1. Purpose and application

The Rules maintain a genuine, professional, safe and efficient cross-border B2B sourcing and supplier-matching environment and protect purchasers, suppliers, the platform and third parties.

They apply to overseas purchasers, Chinese suppliers, sourcing agents, traders, brands, manufacturers, service providers and other users of sourcing, supply, inquiry, quotation, AI, communication and transaction-support services.

2. Core principles

Users must act truthfully, lawfully, honestly and professionally; protect confidential business information; and avoid harming platform systems, data, transaction security or other users. Identity, qualification, needs, products, quotations and communications must be true and accurate and comply with applicable laws in China, the user’s location and transaction destination.

3. Purchaser conduct

Purchasers must publish genuine, clear and lawful requirements, including product, specifications, quantity, target price or budget, market, delivery, timing, certification, packaging and other material conditions. False, non-genuine, malicious test or irrelevant inquiries are prohibited.

Purchasers must not fabricate identity, company, budget or plans; improperly obtain quotations, documents, drawings, samples, cases or trade secrets; request unlawful, infringing, counterfeit, sanctioned or restricted products; facilitate fraud, laundering, tax evasion, bribery, sanctions or export-control evasion; harass or defame; disclose supplier information without authority; bypass platform fees or controls; or forge payment, logistics, authorization, inspection or transaction records.

Purchasers remain responsible for destination-market entry, certification, customs, taxes, restrictions, intellectual property, sanctions and export-control compliance. Platform information and risk prompts do not replace purchaser review.

4. Supplier conduct

Suppliers must submit and update true, accurate, complete, lawful and valid company, factory, product, quotation, certification, media, capacity, case and qualification information and bear consequences of false, expired or misleading information.

Product descriptions and media must match the actual product. Quotations must clearly state currency, price terms, validity, MOQ, packaging, delivery, payment, samples, transport and material conditions. False low prices, inducements and hidden charges are prohibited. Certification, inspection, patent, trademark, authorization, origin, environmental, food, medical and safety claims require valid evidence.

Suppliers must not fabricate companies, factories, capacity, qualifications, cases or products; sell unlawful, counterfeit, infringing, sanctioned or restricted products; forge documents; use false price, stock, delivery or samples; harass or spam; collect or resell purchaser data without authority; bypass fees or controls; or make unauthorized commitments in the platform’s name.

Suppliers remain responsible for export qualifications, permits, certification, inspection, customs, taxes, intellectual property, export controls, sanctions and destination-market entry.

5. Communications and inquiries

Communications must be genuine, accurate, professional, courteous and relevant to sourcing, products, quotations, samples, certification, delivery, payment, logistics or after-sales matters.

Spam, repetition, harassment, malicious advertising, unlawful, sexual, hateful, discriminatory, violent or infringing content, malware, phishing or fraudulent links are prohibited. Suspected content may be identified, intercepted, delayed, removed or restricted.

6. Off-platform transactions and circumvention

Users must not maliciously divert customers, conceal transactions, split orders or falsely cancel orders to avoid membership, facilitation, commission, service or other platform fees and controls.

If a transaction must occur offline, the parties must comply with separately confirmed service, fee, commission and cooperation rules. The platform may consider communications, orders, payments, logistics and user feedback when assessing circumvention.

7. Confidential information

Sourcing requests, quotations, customer and supplier lists, product plans, technical documents, drawings, certification, contract and payment terms, samples, business plans and non-public pricing learned through the platform must be protected as trade secrets or sensitive business information.

Without written consent of the provider and platform, users must not disclose, distribute, sell, transfer, publicly display or misuse such information. Legally required disclosure should be limited and, where permitted, notified. Confidentiality survives account closure, service termination and transaction completion.

8. Intellectual property

Submitted text, media, marks, logos, designs, packaging, drawings, certification and cases must not infringe third-party rights. Users must have authority to display and license submitted content.

Valid infringement complaints may result in removal, blocking, restricted display, suspension or termination. Infringing users bear resulting losses.

9. Reviews, complaints and disputes

Users may report communication, authenticity, quality, samples, quotations, performance or service issues and must provide genuine and complete evidence. The respondent must explain and provide evidence within the required period.

The platform may issue risk prompts, mediation suggestions, restrictions, removals, suspension or termination based on available materials. Platform dispute handling does not replace court, arbitration or administrative procedures and is not a guarantee of outcome.

10. Enforcement

Depending on seriousness, the platform may warn; require correction or deletion; remove, block or limit display; restrict requirements, inquiries, quotations or contact; restrict AI, recommendation, ranking or promotion; suspend, freeze or terminate accounts; cancel membership or promotion; disclose necessary information to counterparties, providers, regulators or courts; seek compensation; or take other lawful measures.

11. Serious violations

Immediate suspension or termination may apply to fraud, money laundering, terrorist financing, bribery, tax evasion or crime; unlawful, embargoed, sanctioned, counterfeit, infringing, dangerous or restricted products; forged identity, qualification, certification, authorization, contract, payment, logistics or inspection documents; malicious disclosure or sale of trade secrets or personal information; attacks, data theft, malware or disruption; repeated uncorrected violations; or other serious harm.

12. Review and risk controls

The platform may use identity checks, document review, keyword systems, risk models, AI analysis, human review and third-party databases to review profiles, products, demands, inquiries, quotations, communications, transaction leads and complaints.

Review is not a guarantee of identity, qualification, products, quotations, performance or results. High-risk users, content or transactions may be restricted, delayed or manually reviewed.

13. AI rules

AI tools must not be used to generate unlawful, infringing, false, fraudulent, discriminatory, harassing, spam or otherwise prohibited content. AI output must not be treated as a final contract, quotation, certification, legal opinion, compliance judgment or transaction commitment without independent verification.

Users are responsible for AI inputs and use of outputs. The platform may monitor, filter, rate-limit, restrict or suspend AI features for safety.

14. Fees and benefits

The platform may charge membership, technical, promotion, facilitation, commission, value-added and other fees according to pages, orders, quotations, service contracts, email confirmations or separate agreements.

Users must not evade charges through false cancellation, order splitting, transaction diversion, concealment or fabricated paths. Refunds after a violation follow the applicable service agreement or platform rules; where no rule applies, paid fees may be non-refundable to the extent permitted by law.

15. Amendments and interpretation

The Rules may be updated for legal, regulatory, business, service, risk or user-feedback reasons and notified reasonably. Users who disagree must stop use; continued use constitutes acceptance.

Source Pilot interprets and enforces the Rules. Unaddressed matters are governed by the Registration Agreement, Privacy Policy and other platform rules.
