Source Pilot User Registration Agreement and Authorization Letter

1. Parties

Platform operator / authorized service provider: Guangzhou Tianji Intelligent Technology Co., Ltd., registered at Room 1501, No. 565 Yuncheng East Road, Baiyun District, Guangzhou, unified social credit code 91440111MADEPL080C, legal representative Zhu Zhi, registered capital RMB 1,000,000, established 9 June 2026. The contact email is the email published on the Source Pilot platform.

User / principal means any natural person, legal person or unincorporated organization that registers, logs in, accesses or uses Source Pilot, including overseas purchasers, Chinese suppliers, sourcing agents, traders, brands, manufacturers and service providers.

2. Acceptance and electronic contracting

Registering, logging in, clicking Agree, Authorize, Confirm, Submit or Continue, submitting information, or otherwise confirming use of the platform constitutes acceptance of this Agreement.

Electronic clicks, selections, confirmations, submissions, login and continued use have the same or comparable legal effect as a paper signature or seal. Registration time, login records, click records, IP address, device and account information, operation logs, email, chat, submission and authorization records may be used as evidence.

A person acting for a company or organization confirms that they have authority to accept this Agreement and grant the authorizations. A person acting without authority and the represented entity bear the resulting responsibility.

3. Definitions

Source Pilot is the online B2B sourcing, supplier matching, inquiry facilitation, business communication, information display, transaction support, AI and supply-chain service system operated or authorized by Source Pilot.

Overseas purchaser means a user outside Mainland China seeking Chinese suppliers, products, quotations, samples, factories, services or supply-chain resources. Chinese supplier means a user in Mainland China, or relying on Chinese supply-chain resources, that displays products or capabilities, receives inquiries, submits quotations or uses transaction assistance.

Platform services include registration, identity checks, business and product display, inquiries, supplier recommendation, sourcing matching, quotation forwarding, business communication, AI analysis and translation, content generation, customer management and third-party introductions for orders, samples, logistics, payment and customs clearance.

4. Identity and registration duties

Users must have legal capacity and authority, provide true, accurate, complete, lawful and valid registration and verification information, and update it promptly.

Users bear responsibility for losses, disputes, complaints, regulatory risks or third-party claims caused by false, inaccurate, incomplete, expired or misleading information. Platform review is not a guarantee of identity, qualification, products, credit, performance or transaction safety.

5. Scope of authorization

An overseas purchaser authorizes Source Pilot to receive, organize, translate and analyze sourcing requirements; find, screen and recommend Chinese suppliers, products, factories and service providers; share necessary company, contact, product, budget, quantity, technical, timing, target-price and certification information with potential suppliers; send or assist with inquiries, samples, quotation requests and meetings; receive and forward supplier materials; and use AI for translation, summaries, classification, risk prompts and recommendations.

A Chinese supplier authorizes Source Pilot to receive, organize, translate, display and promote company, product, factory, qualification, media, quotation and case information; recommend the supplier to purchasers; share necessary contact, product, quotation, delivery and certification information; assist with business materials; optimize and classify content; use submitted brands, company names, logos and materials for platform services and authorized promotion; maintain display pages; and assist with inquiry follow-up.

All users authorize Source Pilot to facilitate information and communications, use human and AI systems for analysis and risk identification, retain data as permitted by law and the Privacy Policy, restrict suspected unlawful or abusive content, preserve or disclose information for disputes and compliance, and use de-identified or anonymous data for analytics, model improvement and service development.

6. Licence to user content

Users warrant that submitted content is true, lawful and valid and does not infringe intellectual property, trade secrets, privacy, portrait, reputation or other rights.

Users grant Source Pilot a worldwide, non-exclusive, sublicensable and royalty-free licence to copy, display, communicate, translate, adapt and edit submitted content as needed to provide services, display and recommend users, generate and distribute business content, market the platform, present cases and perform other authorized activities. Ownership of the original rights is not transferred.

A user may request removal, but Source Pilot may retain information needed for service performance, transaction records, compliance, dispute handling or legal obligations.

7. AI and automated processing

Source Pilot may use AI, large language models, machine translation, recommendation algorithms and analytics for translation, product descriptions, inquiry and quotation optimization, intent recognition, supplier matching, summaries, risk prompts and operational efficiency.

AI output may be inaccurate, incomplete or unsuitable. Users must independently verify important matters including price, specifications, quality, certification, delivery, payment and contract terms, and remain responsible for final use.

8. Personal information and cross-border data

Users consent to collection, use, storage, processing, transmission and disclosure of personal information and business data under applicable law and the Privacy Policy, including identity, contact, company, device, browsing, inquiry, quotation, chat, order-support, payment, logistics, certification and inspection information.

Information may be transferred, stored or processed across countries or regions for cross-border B2B services. A user submitting information about employees, contacts, customers or other individuals warrants that all necessary consent has been obtained.

9. Platform role and limits

Source Pilot mainly provides information display, sourcing matching, communication assistance, data analysis, AI tools, transaction support and third-party introductions. Unless expressly agreed in writing, it is not a party to the sale contract and does not assume purchaser or supplier obligations for goods, payment, delivery, quality, after-sales service, customs, taxes or certification.

Users must enter their own transaction documents and bear performance responsibility. Source Pilot does not guarantee absolute identity authenticity, product conformity, inquiry conversion, performance, AI accuracy or third-party results.

10. Purchaser undertakings

Overseas purchasers promise that requirements are genuine and lawful, that they have authority, will not improperly obtain quotations, technical documents, samples or trade secrets, will not maliciously circumvent platform fees or rules, and will independently verify import, certification, customs, tax and other destination-market obligations. Purchasers remain responsible for purchasing decisions, payment, import compliance and performance.

11. Supplier undertakings

Chinese suppliers promise that they are lawfully established and operating, are entitled to sell, export and display products or services, submit true and complete information, do not infringe third-party rights or violate export controls, sanctions or embargoes, and will not publish false products, qualifications, prices or misleading claims. Suppliers remain responsible for quality, delivery, after-sales service, export compliance, taxes, intellectual property, certification and complaints.

12. Prohibited conduct

Users must not publish, transmit, sell or procure unlawful, infringing, counterfeit, substandard, embargoed, sanctioned or restricted products; commit fraud, money laundering, bribery, sham transactions, tax evasion or intellectual-property infringement; impersonate others or fabricate identities, qualifications, factories, products or cases; scrape, copy or resell platform or user data; bypass rules, disrupt systems, upload malicious code, spam, harass, submit malicious inquiries or make false quotations.

13. Fees, third-party services and account security

The platform may charge membership, service, facilitation, commission, technical, promotion or value-added fees as disclosed on pages, orders, quotations, service contracts, email confirmations or separate agreements.

Logistics, payment, customs, certification, inspection, insurance, finance, legal, tax and marketing services may be independently supplied by third parties. Users must assess and contract with them directly.

Users must protect accounts, passwords, codes, devices and delegated permissions. Operations through an account are treated as the user’s or authorized personnel’s actions.

14. Intellectual property and confidentiality

Platform software, interfaces, databases, algorithms, models, trademarks, design, content and service processes belong to the platform or lawful owners. Users must keep confidential other users’ trade secrets, quotations, customer data, technical information, transaction terms, contracts and other non-public business information, even after account closure or termination.

15. Suspension, termination and amendments

The platform may amend this Agreement for law, business, service or compliance reasons and notify users reasonably. Continued use constitutes acceptance.

The platform may suspend or terminate services for breach, false information, unlawful transactions, infringement, fraud, regulatory requirements, maintenance or force majeure. Rights and obligations already accrued, including payment, confidentiality, compensation and dispute provisions, survive termination.

16. Disclaimer and limitation of liability

To the extent permitted by law, Source Pilot is not responsible for losses caused by user conduct, counterparty breach, third-party services, network or system failure, cyberattack, communication failure, government action, regulatory requirements, war, natural disaster, strike, epidemic, failure to verify information or AI error.

The platform is not liable for indirect, anticipated-profit, goodwill, data-loss or business-interruption losses. Except for intent or gross negligence, aggregate liability is capped at the service fees actually paid by the user during the twelve months before the dispute; if no fees were paid, the cap is RMB 1,000, subject to applicable law.

17. Indemnity

A user must compensate the platform, other users and third parties for losses, claims, penalties, complaints, litigation, arbitration and reasonable enforcement costs arising from breach, false, unlawful, infringing or misleading information, unlawful transactions or misuse.

18. Notices

Notices may be delivered through platform announcements, in-app messages, pop-ups, email, SMS, instant messaging, reserved contact addresses or other reasonable methods. Delivery is deemed according to the timing stated in the Chinese original, including the fifth business day after dispatch for paper documents.

19. Governing law and disputes

The Agreement is governed by the laws of the People’s Republic of China, excluding conflict-of-laws rules. The parties should first negotiate. Unresolved disputes may be brought before a competent People’s Court where the platform operator is located. A final international arbitration clause may be adopted separately for overseas users.

20. Language and miscellaneous

The Agreement may be provided in Chinese, English and other languages. Unless expressly stated otherwise, the Chinese version prevails if versions differ.

The Agreement incorporates the Privacy Policy, platform rules, service descriptions, fee, transaction, risk, intellectual-property and authorization rules. Invalidity of one provision does not affect the remainder.
